TERMS OF BUSINESS

1. INTRODUCTION

1.1 These Terms (“Terms”) set out the basis on which JPS Consulting (“we”, “us”, “our”), a trading name of Javier Perez-Manglano, of 124 City Road, London EC1V 2NX, provides consultancy, advisory, administrative assistance, document management, administrative representation and liaison services, legalisation and translation-related services (“Services”) to clients (“you”, “your”).

1.2 These Terms apply to all Services provided by us within the scope of the suite of services advertised on this website and override any other terms unless expressly agreed in writing.

1.3 By instructing us to provide Services, you are deemed to have accepted these Terms.

2. STATUS AND SCOPE OF SERVICES

2.1 We provide consultancy, advisory, administrative assistance, document management, administrative representation and liaison services and translation-related services relating to cross-border inheritance and related matters, including dealings with authorities where applicable.

2.2 We do not act as solicitors or barristers and do not provide regulated legal services reserved to authorised persons in England and Wales. Where a matter requires such services, we may engage or refer you to appropriately qualified legal professionals, including solicitors, and any such services will be provided by those professionals in their own capacity.

2.3 Any information, guidance, or assistance provided by us is of a general nature and should not be construed as formal legal advice unless explicitly stated.

2.4 We do not guarantee the outcome of any process, including (without limitation) the obtaining of documents, approvals, registrations, or the outcome of any inheritance, administrative, or legal procedure, as such outcomes depend on third parties and competent authorities.

3. CLIENT INSTRUCTIONS

3.1 Instructions may be provided via email, contact forms, or other written communication methods accepted by us.

3.2 We reserve the right to decline instructions at our discretion, including where we are unable to provide the requested Services or where a conflict of interest arises.

3.3 No obligation to commence Services shall arise until we have confirmed acceptance of your instructions and, where applicable, have received any requested payment on account or initial fee.

3.4 A binding agreement for Services shall only arise once we have expressly confirmed acceptance of your instructions in writing (including by email). Any quotations or discussions of Services do not constitute an offer and are provided for information purposes only.

4. OUR OBLIGATIONS

4.1 We will use reasonable skill and care in providing the Services.

4.2 We will act in accordance with applicable laws and professional standards relevant to the Services provided in England and Wales and, where applicable, in any other jurisdiction in which the Services are carried out.

4.3 We will aim to perform Services within reasonable timescales, but any timescales provided are estimates only and not binding commitments.

5. USE OF THIRD PARTIES

5.1 We may engage or liaise with third-party contractors, agents, translators, legal professionals, or other service providers as part of the Services.

5.2 We will use reasonable care in selecting such third parties. Where we engage third parties on your behalf as part of the Services, we will remain responsible for coordinating the Services but shall not be liable for any acts or omissions of such third parties beyond our reasonable control.

5.3 In some cases, we may introduce you to third parties directly, in which case any agreement for services will be between you and the relevant third party, and we shall have no liability in respect of those services.

6. YOUR OBLIGATIONS

6.1 You agree to provide complete, accurate, and timely information necessary for the provision of Services.

6.2 You are responsible for the accuracy and authenticity of all documents and information supplied to us.

6.3 We shall be entitled to rely on all information and documentation provided by you without independent verification unless expressly agreed otherwise, or unless we are required by law to carry out such verification.

6.4 You agree to cooperate with reasonable requests for additional information or clarification.

6.5 Where delays occur as a result of your failure to provide information, instructions, or cooperation in a timely manner, we may adjust any estimated timescales and/or charge additional fees reasonably incurred as a result of such delay.

7. FEES AND PAYMENT

7.1 Fees for Services or the basis for their calculation will be communicated to you in advance, including by way of fixed fees, estimates, fee ranges, or hourly or daily rates, or set out in invoices issued by us.

7.2 Payment terms, including due dates and accepted methods of payment, shall be specified on the relevant invoice or in accompanying email communications unless otherwise agreed in writing.

7.3 We reserve the right to suspend Services in the event of late or non-payment.

7.4 We reserve the right to charge interest on overdue amounts in accordance with applicable law.

7.5 We may incur disbursements or third-party costs on your behalf, including (without limitation) official fees, translations, courier costs, registry charges, or similar expenses. You agree to reimburse such costs in full, whether or not Services are completed, provided they were reasonably incurred in connection with the Services.

8. LIMITATION OF LIABILITY

8.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability which cannot be excluded under English law.

8.2 To the fullest extent permitted by law, we shall not be liable for: (a) any indirect or consequential loss; or (b) loss of profit, revenue, goodwill, or anticipated savings.

8.3 Our total liability arising out of or in connection with the Services shall be limited to the total fees paid or payable by you for the relevant Services.

9. USE AND RELIANCE

9.1 Any documents, reports, communications, translations or materials provided by us are for your personal use only and may not be relied upon by any third party without our prior written consent.

9.2 The Services do not constitute a substitute for formal legal or tax advice where such advice is required.

10. DELAYS AND THIRD-PARTY AUTHORITIES

10.1 We shall not be responsible for delays caused by third parties, including public authorities, courts, registries, notaries or banking institutions.

10.2 Processing times and requirements of such bodies may vary and are outside our control.

11. CONFIDENTIALITY

11.1 We will treat all information provided by you as confidential and will not disclose it to third parties except: (a) where required by law; (b) with your consent; or (c) where necessary for the performance of the Services.

12. DATA PROTECTION

12.1 We will process personal data in accordance with applicable UK data protection legislation, including the UK GDPR and Data Protection Act 2018 and, where applicable, equivalent data protection legislation in any other jurisdiction in which the Services are carried out.

12.2 Further details regarding data processing may be provided in a separate Privacy Policy.

12.3 Use of Artificial Intelligence

We may use artificial intelligence (AI) tools to assist with certain aspects of the Services, including research, drafting, document preparation and the review of information. Any material produced with the assistance of AI will be subject to appropriate human review, and we shall remain responsible for the Services provided.

We will not submit personal data or information that could identify you or any other individual to third-party AI tools without your prior consent, where appropriate, and without ensuring that suitable safeguards are in place. Any use of AI tools will be carried out in accordance with our confidentiality obligations and applicable data protection legislation.

13. FILE RETENTION

13.1 We may retain documents and records relating to the Services for as long as necessary to comply with legal, regulatory, and professional obligations.

13.2 We reserve the right to securely delete or destroy such records when they are no longer required for such purposes.

14.1 We may communicate with you electronically, including by email.

14.2 You acknowledge the risks associated with electronic communications, including potential delays, interception, or loss of data.

14.3 Any email or electronic communication shall be deemed received on the same working day if sent before 5.00pm (UK time), or otherwise on the next working day.

15 INTELLECTUAL PROPERTY

15.1 All materials, documents, and deliverables produced by us in the course of providing Services remain our intellectual property unless otherwise agreed.

15.2 You are granted a non-exclusive licence to use such materials for your internal and personal purposes related to the Services.

16. CLIENT IDENTIFICATION

16.1 We may request identification documents and other information from you to verify your identity.

16.2 We reserve the right to refuse or cease to act if such information is not provided, is incomplete or inaccurate, or raises compliance, due diligence, or risk management concerns.

16.3 We may, at our discretion, request additional information or documentation, including source of funds or source of wealth information, for compliance, risk management, or due diligence purposes, whether or not required by applicable law.

17. TERMINATION

17.1 Either party may terminate the provision of Services by giving reasonable written notice.

17.2 We may terminate Services immediately if: (a) you are in material breach of these Terms; or (b) continued provision of Services becomes impracticable or unlawful.

17.3 Upon termination, you shall pay for all Services provided up to the date of termination.

17.4 Upon termination, we may issue an invoice for all Services provided up to the date of termination, including where appropriate an assessment of partially completed Services, work in progress, and time spent, calculated on a reasonable basis.

18. FORCE MAJEURE

18.1 We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control, including (without limitation) acts of public authorities, delays or failures of courts, registries, consulates, embassies, or other governmental bodies in any jurisdiction, industrial disputes, or failures of third-party service providers.

19. COMPLAINTS

19.1 If you are dissatisfied with the Services, you should contact us in writing with details of your complaint.

19.2 We will seek to respond within a reasonable time and resolve the matter in good faith.

19.3 Where applicable, and where the Services are subject to the rules of a relevant professional body or association, we may inform you of any available external complaints or dispute resolution procedures operated by that body.

22. GENERAL

22.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22.2 No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right.

22.3 These Terms constitute the entire agreement between the parties in relation to the Services.
